BOARD OF DIRECTORS

PURPOSE:

To provide a global overview of the Goals and Objectives of the company for the mid and long term based on external forces and economic trends.

RESPONSIBILITIES:

  • To review the mid and long term goals recommended by the Operational Advisory Committee
  • To receive and consider appropriate actions related to financial reports from the Finance Committee
  • to provide insights into current and future political and economic directions
  • To provide insight into the changing population demographics and its implications
  • To endorse the direction of the company or recommend alternatives

FINANCE COMMITTEE

PURPOSE:

To provide financial analysis and an overview of corporate financial matters and recommend changes in approach or methods on all fiscal issues to the Board of Directors

RESPONSIBILITIES:

  • To review all the company’s budgets and cash flow projections
  • To review and approve draft year-end Financial Statements
  • To review and approve reports from accountants such as tax returns
  • To advise on matters of fiscal structuring, growth and tax planning
  • To review and decide on matters of Dividend distribution and profit payouts
  • To develop an Annual Report to be submitted to the Board of Directors prior to the Annual meeting.

OPERATIONAL ADVISORY COMMITTEE

PURPOSE:

The purpose of the Advisory Committee is to advise the Board of Directors in order to achieve optimal functioning of the company’s retirement homes through the identification and recommendation of the retirement industry best practices.

RESPONSIBILITIES:

  • To review and provide feedback on each home’s strategic direction, mission, vision, values and goals and objectives
  • To review each home’s performance related to operational activities and provide feedback on financial issues as required
  • To receive reports and make recommendations based on retirement industry trends and external influences
  • To recommend operational efficiencies based on activities that have been identified as industry best practices
